In plain terms: These terms set out how we work together — what you can expect from us and what we expect from you. We’ve written them to be fair, clear, and protective of both sides.
1. Acceptance of Terms
By visiting trivanadigital.com, submitting an inquiry, or engaging Trivana Digital Solutions for any service, you confirm that you have read, understood, and agree to these Terms and Conditions in full.
If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
2. About Us
Trivana Digital Solutions is a digital services company providing:
- Website Design & Development
- Search Engine Optimization (SEO)
- Digital Marketing & Paid Advertising (Google Ads, Meta Ads)
- Social Media Management
- Branding & Graphic Design
- Content Creation
- Website Maintenance & Support
The exact scope of services for your project will be defined in a separate Project Proposal or Service Agreement signed between both parties.
3. Project Engagement Process
Our standard engagement process works as follows:
- Discovery — You share your requirements via inquiry form, email, or call
- Proposal — We send a detailed proposal with scope, timeline, and pricing
- Agreement — You approve the proposal and sign the service agreement
- Deposit — Work begins upon receipt of the initial deposit
- Delivery — We deliver work in stages with client review points
- Launch / Handover — Final delivery upon full payment clearance
Work does not begin until a signed agreement and deposit are received.
4. Client Responsibilities
In plain terms: We need your cooperation to deliver great work. Delays on your side can affect timelines and costs.
You agree to:
- Provide accurate, complete, and timely information and materials required for project delivery
- Respond to communications, feedback requests, and approvals within 5 business days unless otherwise agreed
- Supply all content, brand assets, images, login credentials, and platform access as required
- Ensure that all materials you provide (logos, images, text, data) are legally owned or properly licensed by you
- Assign one primary point of contact for clear and consistent communication
Delays caused by late responses, missing assets, or unclear approvals are not the responsibility of Trivana Digital Solutions and may result in revised timelines or additional costs.
5. Payment Terms
In plain terms: We require a deposit to begin work. Final payment is due before we hand over files or launch your project.**
- Deposit: 50% of the total project fee is required upfront before work commences (unless otherwise specified in your agreement)
- Final Payment: Remaining 50% is due upon project completion, prior to delivery of final files or website launch
- Milestone Projects: Larger projects may follow a milestone-based payment schedule as outlined in your proposal
- Invoices: Payment is due within 7 days of invoice date unless agreed otherwise
- Late Payments: Overdue invoices are subject to a late fee of 1.5% per month on the outstanding balance
- Work Pause: We reserve the right to pause work on projects with invoices overdue by more than 14 days
- Accepted Payments: Bank transfer, UPI, Razorpay, or other methods agreed upon in writing
All prices are in Indian Rupees (INR) unless explicitly stated otherwise. GST will be applied as per applicable Indian tax regulations.
6. Revisions and Change Requests
In plain terms: Your project includes a set number of revisions. Extra changes outside the agreed scope will cost extra — and that’s fair to both of us.**
- Each project includes a defined number of revision rounds as stated in your proposal (typically 2–3 rounds per deliverable)
- A revision means refining the existing direction — not changing the concept, scope, or brief
- Additional revisions beyond the included rounds will be billed at our standard hourly rate
- Significant scope changes (e.g., adding new pages, redesigning approved sections, changing the project brief) require a revised proposal and may affect both cost and timeline
- Written client approval at each milestone constitutes a formal sign-off. Requests to reverse or redo approved work will be treated as new change requests and billed accordingly
7. Intellectual Property & Ownership
In plain terms: Once you’ve paid in full, the final work is yours. We keep ownership of our tools and methods. You keep ownership of everything you gave us.**
A. Final Deliverables
Upon receipt of full payment, you receive full ownership of the final deliverables created specifically for your project — including website design, graphics, and custom written content.
B. Our Tools, Frameworks & Processes
We retain ownership of our proprietary methodologies, code libraries, design frameworks, templates, and internal tools used to create your project. These are licensed to you for use within your project only and may not be resold or redistributed.
C. Your Materials
You retain full ownership of all content, logos, brand assets, photographs, and materials you supply to us.
D. Third-Party Assets
Some projects may incorporate third-party resources such as stock images, premium fonts, WordPress themes, or plugins. These are subject to their own licensing terms. We will notify you of any licensing costs or restrictions.
E. AI-Assisted Work
Where AI tools are used in the creation of content, design drafts, or code, ownership of the final reviewed and approved output transfers to you upon full payment, consistent with the terms above.
8. Portfolio and Case Study Rights
In plain terms: We love showcasing our work. Unless you ask us not to, we may feature your project in our portfolio.**
Trivana Digital Solutions reserves the right to:
- Display completed work in our website portfolio, social media, presentations, and marketing materials
- Reference your company name and project as a case study (without disclosing confidential business information)
If you require confidentiality regarding our engagement, please notify us in writing before project commencement. We will honor such requests and remove your project from public-facing materials.
9. Post-Launch Support & Maintenance
In plain terms: We don’t disappear after your project launches. Here’s what’s covered and what’s not.**
- Included post-launch support: Bug fixes and technical issues arising directly from our work are covered for 30 days after project delivery at no additional cost
- Not included: Changes to content, new features, third-party plugin updates, hosting issues, or issues caused by client-side modifications
- Ongoing maintenance: We offer monthly maintenance plans covering updates, backups, security checks, and minor edits. Ask us for a quote.
After the 30-day support window, all work is billed at our standard hourly or retainer rate.
10. Third-Party Platforms & Services
In plain terms: We work within platforms like Google, Meta, and WordPress — but we don’t control them.**
Trivana Digital Solutions is not responsible for:
- Policy changes, algorithm updates, or account suspensions by third-party platforms including Google, Meta, Instagram, LinkedIn, or others
- Downtime, data loss, or service interruptions caused by hosting providers or third-party software
- Reduction in performance or rankings resulting from platform-side changes beyond our control
Where we manage paid advertising campaigns, you acknowledge that ad performance depends on multiple variables (audience behavior, market conditions, competition) and we do not guarantee specific results, returns, or conversion rates.
11. SEO & Digital Marketing Disclaimer
In plain terms: We do great work, but we can’t promise you’ll be #1 on Google. No honest agency can.**
Search engine optimization results vary based on factors outside our control, including but not limited to:
- Google’s algorithm changes
- Competition in your industry and target location
- The age and authority of your domain
- Quality and quantity of your existing content
We commit to applying industry best practices and transparent reporting. We do not guarantee specific keyword rankings, traffic volumes, or revenue outcomes from SEO or digital marketing campaigns.
12. Confidentiality
Both Trivana Digital Solutions and the client agree to:
- Keep confidential all proprietary business information, pricing, strategies, and sensitive data shared during the engagement
- Not disclose such information to any third party without prior written consent
- This obligation remains in effect for 2 years after the conclusion of the engagement
13. Force Majeure
Trivana Digital Solutions shall not be held liable for any delay or failure in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, server failures, government actions, pandemics, or any other unforeseen events.
In such cases, we will notify you promptly and work to resume normal operations as quickly as possible.
14. Cancellation Policy
- Client cancellation before work begins: Full deposit refunded, minus any administrative costs already incurred
- Client cancellation after work has commenced: You will be invoiced for all work completed to that point. The deposit may be partially or fully applied against this amount
- Trivana Digital Solutions cancellation: If we are unable to complete a project due to circumstances on our end, we will refund any prepaid amounts for work not yet delivered
- Deposits are non-refundable once the project is underway, unless we are at fault
15. Dispute Resolution
In plain terms: If something goes wrong, let’s talk first. Court is the last resort.**
In the event of a dispute:
- Both parties agree to first attempt resolution through good-faith written communication within 15 business days
- If unresolved, the matter will proceed to mediation by a mutually agreed mediator
- If mediation fails, disputes will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India
16. Limitation of Liability
To the maximum extent permitted under applicable Indian law, Trivana Digital Solutions shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of revenue, profit, data, or business opportunity
- Damages resulting from inaccurate information provided by the client
- Third-party platform failures or policy changes
Our total liability in any matter shall not exceed the total fees paid by you for the specific service in question during the preceding 3 months.
17. Warranties
We warrant that:
- Our services will be performed with reasonable professional skill and care
- We have the right to provide the services described
- Deliverables will substantially conform to the agreed project scope
We disclaim all other warranties, express or implied, to the extent permitted by law.
18. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act 2000, the DPDP Act 2023, and other applicable statutes.
19. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
Active clients will be notified of material changes via email.
